The concept of the civil liability of The general manager at Public Shareholding Company at Jordanian legislation
Abstract
This study examines the civil liability of the general manager at Public Shareholding Company through presenting his responsibilities and authority, and the nature of his civil liabilities towards the company and others and in the event of the company's liquidation stage, and the civil liability claim that can be filed against him as a result of proof his civil liability.
Through this study, we had identified some of the shortcomings in the Jordanian legislation. Where it concludes that the Jordanian legislation does not give the General Manager the importance he gave to the Board of Directors, despite the importance of his role. But the provisions relating to his civil liability are ambiguous and deficient, which in turn may lead to loss the company's, third parties', or shareholders' rights.
We present at this study several recommendations. The most prominent of which, is the need to explicitly stipulate the civil liability of the general manager towards the company as provided at the Companies Law to the Board of Director.
